1. Acceptance of Terms
By accessing or using FleetGuard ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
FleetGuard is a fleet management platform that enables organizations to track vehicles, log damage incidents, store compliance documents, manage team access, and generate operational reports. The Service is provided on a subscription basis and is currently in a private beta phase. Features and availability may change at any time during the beta period.
3. Eligibility
You must be at least 16 years of age to use FleetGuard. By using the Service, you represent that you meet this requirement. Use of the Service is available only to individuals and organizations operating in jurisdictions where the Service is legally permitted.
4. Accounts and Organizations
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Each organization account may invite multiple members; the account owner is responsible for ensuring all members comply with these Terms. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Acceptable Use
You agree not to use FleetGuard to:
- Upload, store, or transmit content that is unlawful, harmful, defamatory, or infringes the intellectual property rights of others.
- Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' data.
- Reverse-engineer, decompile, or otherwise attempt to derive source code from the Service.
- Use automated means (bots, scrapers, or crawlers) to access the Service without our prior written consent.
- Interfere with or disrupt the integrity or performance of the Service or its underlying systems.
- Misrepresent your identity or your organization when using the Service.
6. Your Data
You retain ownership of all data you upload or create within FleetGuard ("Your Data"). By using the Service, you grant FleetGuard a limited, non-exclusive, royalty-free license to store, process, and transmit Your Data solely to operate and provide the Service to you. We do not sell or use Your Data for advertising. You are responsible for ensuring you have the rights to upload all content you provide.
7. Beta Access
FleetGuard is currently offered as a private beta. During the beta period, the Service is provided free of charge. We make no guarantees of uptime, data durability, or feature stability during this phase. We may modify, suspend, or discontinue any part of the Service at any time without notice. Beta feedback you provide may be used to improve the product without any obligation or compensation to you.
8. Intellectual Property
All rights, title, and interest in and to FleetGuard — including its software, design, trademarks, and content — are and remain the exclusive property of FleetGuard and its licensors. Nothing in these Terms grants you any rights to use our trademarks, logos, or proprietary materials without our prior written consent.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, FleetGuard and its officers, directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of the amount you paid us in the twelve months preceding the claim or €100.
11. Indemnification
You agree to indemnify, defend, and hold harmless FleetGuard and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, Your Data, or your violation of these Terms.
12. Termination
Either party may terminate the relationship under these Terms at any time. You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately if we believe you have violated these Terms or that your account poses a risk to other users or to the integrity of the Service. Upon termination, your right to access the Service ceases immediately.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation where possible. If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via email or an in-app notice and update the "Last updated" date above. Your continued use of FleetGuard after changes take effect constitutes your acceptance of the revised Terms.
